ASC Terms of Membership
In these terms, “Association” means the Association for Survey Computing, Community Interest Company (CIC), registered in England and Wales, number 14461935 whose registered office is at 126 City Road, London EC1V 2NX, England.
In entering into membership of the Association, members agree to adhere to these terms of membership, to be aware of their responsibilities as members, and to allow the Association to vary these terms in future.
-
- Membership is open to all individuals (“individual members”) over the age of 18 years who are engaged with or have an interest in the technology of market and social research and related disciplines for work, study, professional or personal interest.
- Members agree to provide the information required on the membership application form (“Member Information”) and to pay the advertised membership fee for the class of membership they wish to apply for.
- Members will inform the Association of any subsequent changes to their Member Information as long as they remain members.
- Applications for membership will be presented for approval to the Executive Committee.
- Anyone applying to become a member is required to have attended at least one ASC event either in person or online in the 24 months before being accepted for full membership.
- Members consent to the retention and processing of their Member Information by ASC for the purposes of maintaining its list of members and communicating with members about the activities of the Association.
- The period of membership is normally one calendar year. Existing members will be invited to renew their membership at the end of the year for the following year subject to payment of the fees applicable at the time.
- Members will be given 14 days’ notice of any general meeting of the Association together with details of any resolutions to be presented at the meeting.
- Each member is entitled to vote on any resolution presented at a general meeting with all votes counted equally.
- Each member accepts limited liability in the event of the Association being wound up. As such the liability of each member is limited to £1, being the amount that each member undertakes to contribute to the assets of the Association in the event of its being wound up while he or she is a member or within one year after he or she ceases to be a member, as defined the Association’s Articles of Association.
- Members agree to participate in activities and events organised by the Association with honesty and integrity, to respect the policies of the Association and to show courtesy to other members, contributors, associates, employees and contractors of the Association.
- Members may terminate their membership at any time by informing the Association by email or in writing. Membership fees paid for that year are not refundable.
- Membership is not transferrable to any other person.
- Membership will terminate if the member dies or ceases to exist.
- The Association reserves the right to expel any member whose actions are considered by the Directors of the Association to be harmful to the interests of the Association or harmful to other members or likely to bring the Association into disrepute. Any member considered for expulsion will be given at least 14 days’ notice prior to the resolution being presented to the Executive Committee and will be given the opportunity to make representations to the Executive Committee.
Terms 15 to 18 apply only to Company memberships.
-
- Company membership is available companies, partnerships and other legal persons on the same terms as for Individual Members who are natural persons.
- Company members may nominate individuals associated with their organisation (“Associated Members”) to receive the same benefits as Individual Members up to the maximum permitted for the level of membership that the Company has subscribed to.
- As it is the Company that is the Member of the Association, only one vote may be cast by the Company for resolutions presented at general meetings, with one person appointed by the company from their Associated Members to cast that vote.
- Associated Membership for any individual is terminated when the Associate Member leaves or is no longer associated with the Company member.
Explanatory Notes
(These do not form part of the terms of membership)
ASC is legally defined as a Community Interest Company limited by guarantee with no share capital. The assets of the ASC CIC are held in trust for the benefit of the community that the ASC exists to serve.
Members fulfil the important role of being the ultimate owners of the ASC, which always remains answerable to its members. The terms of membership therefore reflect many of the terms defined in the ASC’s Articles of Association supplemented by policies adopted by the ASC to further its objectives.
Day-to-day governance is carried out by the Directors of the ASC, who form the ASC’s Executive Committee. Directors may be appointed by resolution of the members or directly by the Executive Committee. All directors are also members of the Association.
These terms were adopted by the Directors of ASC on 28 July 2023 and subsequently amended by them on 9 January 2024 to add term 5.
